Question

The organization is the owner of buildings in Moscow, located on a municipal land plot, which is leased from it. The organization plans to carry out retail trade on the leased land plot, as well as hold festivals and fairs (both independently and with the involvement of third parties). What regulations regulate such activities? Is the organization obliged to enter information into the trade register?

Answer

The holding of fairs is regulated by Moscow Government Decree No. 172-PP dated May 4, 2011 “On approval of the Procedure for organizing fairs and selling goods (performing work, providing services) at them on the territory of the city of Moscow.” And this resolution applies only to cases where the organizers of fairs are:

Weekend fairs - State state-financed organization the city of Moscow "Moscow Fairs";

Specialized fairs - executive authorities of the city of Moscow, legal entities, individual entrepreneurs, determined in accordance with the legal acts of the Department of Trade and Services of the city of Moscow on the organization and holding of such fairs;

Regional fairs - executive authorities of the constituent entities Russian Federation, executive authorities of other member states Customs Union, as well as legal entities designated by them, including industry associations.

If the organizer of the fair is a commercial company, then this activity is not regulated.

There is currently no obligation to submit information to the trade register. We can only talk about sending a notification to Rospotrebnadzor (see Explanations on the submission of notifications).

Article 11. Requirements for the organization of fairs and the sale of goods (performance of work, provision of services) at them

1. Fairs are organized by authorities state power, local government bodies, legal entities, individual entrepreneurs (hereinafter referred to as the fair organizer). The organization of fairs and the sale of goods (performance of work, provision of services) at them is carried out in the manner established by the regulatory legal acts of the constituent entities of the Russian Federation in the territories of which such fairs are organized.* If the organizer of the fair is a federal government body, the procedure for organizing the fair and the sale of goods (performance of work, provision of services) at it is established by the organizer of the fair, taking into account the provisions of this article.

2. The organizer of the fair develops and approves an action plan for organizing the fair and selling goods (performing work, providing services) at it, and also determines the operating hours of the fair, the procedure for organizing the fair, the procedure for providing places for the sale of goods (performing work, providing services) at the fair. fair

The amount of payment for the provision of equipped places for the sale of goods (performance of work, provision of services) at the fair, as well as for the provision of services related to ensuring trade (cleaning the territory, conducting a veterinary and sanitary examination and other services), is determined by the organizer of the fair, taking into account the need to compensate for the costs of organizing a fair and selling goods (performing work, providing services) at it.

6. Requirements for organizing the sale of goods (including goods subject to sale at fairs of the relevant types and inclusion in the corresponding list) and the performance of work and provision of services at fairs are established by regulatory legal acts of the constituent entities of the Russian Federation, taking into account the requirements, established by law of the Russian Federation on the protection of consumer rights, the legislation of the Russian Federation in the field of ensuring the sanitary and epidemiological well-being of the population, the legislation of the Russian Federation on fire safety, legislation in the field of protection environment, and other requirements established by federal laws.”

In development of these innovations, on 06/05/2018, Resolution No. 46 “On measures to implement the Resolution of the Council of Ministers of the Republic of Belarus of May 14, 2018 No. 351” was adopted, establishing application forms on the basis of which from 07/12/2018 the Trade Register should be entered (changed). , excluded) information. From the application form for inclusion of information in the Trade Register of the Republic of Belarus about a retail trade facility(with the exception of mobile vehicles for delivery and distribution trade), columns such as “Methods of selling goods”, “Type of retail facility by type of structure, by price level”, etc. are excluded. It is no longer necessary to indicate retail space hall, the purpose of the real estate object used to create a retail facility, and some other information<*>. In the application for inclusion of information in the Trade Register of the Republic of Belarus about wholesale trade object no need to indicate information about warehouse space and storage volume<*>. The forms of applications for amendments and (or) additions to information included in the Trade Register of the Republic of Belarus have changed<*> :
- about a retail trade facility (with the exception of mobile vehicles for delivery and distribution trade);
— a mobile means of distribution, peddling trade;
— a trade entity engaged in retail trade without (outside) retail facilities;
— online store;
— wholesale trade facility;
- a trade entity carrying out wholesale trade no retail facilities;
— public catering facility;
- mall;
- market.

From February 26, 2018, business entities when carrying out economic activity in the areas of trade and catering:
- independently establish the operating hours of their retail trade facilities, public catering facilities, consumer service facilities, operating hours without (outside) retail facilities, consumer service facilities, shopping centers, markets without coordination with local executive and administrative bodies, others government agencies and ensure its compliance. Procedure for entering information into the trade register
1. Information about business entities and information about trading facilities belonging to them must be entered into the trade register.

2. The following are subject to inclusion in the trade register:

Organizations are legal entities that have passed state registration;

Individual entrepreneurs are citizens who carry out entrepreneurial activity without forming a legal entity;

Territorially separate divisions of organizations and individual entrepreneurs.

3. Information about both own retail facilities and leased ones is entered into the trade register.

4. All business entities (tenants, subtenants) located on the territory of a retail facility (store, shopping complex, shopping center, etc.) that have entered into a lease (sublease) agreement must be entered into the trade register.

5. Pavilions, kiosks, tents are classified as non-stationary retail facilities and are subject to inclusion in the trade register.

6. If the enterprise is a new construction project or is being introduced as an object of the consumer market for the first time, entry into the trade register is carried out after the object is accepted by the state commission with the execution of the corresponding acceptance certificate.

7. Entering information about an economic entity (object) of trading activity into the trade register is carried out on the basis of:

1) applications for entering information into the trade register (Appendix 1) with the attachment of completed forms of the established form (Appendices 2, 3, 4) to these Methodological recommendations, as well as the following documents:

a) certified in in the prescribed manner copies of the certificate of state registration legal entity or individual entrepreneur;

b) a duly certified copy of the certificate of registration with the tax authority at the location on the territory of the Russian Federation (except for cases where a duly certified note of registration with the tax inspectorate is made on the state registration certificate, indicating the identification number taxpayer (TIN);

10. There is no fee for entry into the trade register.

Change (deletion) of information contained in trade register
1. Amendments and (or) exclusion of information contained in the trade register are made on the basis of:

1) an application from an economic entity included in the trade register to amend and (or) exclude information (Appendix 5);

2) collection of information about the economic entity by the administration of the city district and municipal district.

1. General part

1.1. The Regulation "On the Trade Register", hereinafter referred to as the "Regulation", was developed in accordance with Federal law Russian Federation dated 01.01.01 N 381-FZ “On the fundamentals of state regulation of trade activities in the Russian Federation”, Law of the Russian Federation dated February 7, 1992 N 2300-I “On the protection of consumer rights”.

1.2. The main purpose of creating a trade register is to create a complete, reliable and up-to-date information on various categories of economic entities engaged in trading activities.

1.3. Basic terms and definitions used in the Regulations:

Trading activity is a type of business activity associated with the acquisition and sale of goods.

Special shop- company retail, selling one group of goods or part of it.

Store with a combined assortment of goods- a retail trade enterprise that sells several groups of goods related by common demand and satisfying individual needs

Warehouse areas are considered areas of specially equipped buildings or parts thereof used for storing finished products, raw materials, materials, components, etc., as well as for storing goods purchased for further resale.

To the shops These include specially equipped stationary buildings (part of them) intended for the sale of goods and provision of services to customers and provided with retail, utility, administrative and amenity premises, as well as premises for receiving, storing goods and preparing them for sale.

1.4. The following are subject to inclusion in the Trade Register:

Organizations are legal entities that have passed state registration;

Specialized trade development programs are provided in full. For programs that also affect trade, a program passport and a list of activities that apply to trade organizations are provided, indicating the volume of financing, implementation mechanisms and planned results.

7.4. Quarterly, no later than the twentieth day of the month following the reporting quarter, the authorized government body of the constituent entity of the Russian Federation that maintains the trade register submits to Rosstat the generalized information contained in the trade register (the forms of generalized information are presented in Appendix 11)

7.5. The information included in the trade register in terms of identifying business entities engaged in trading activities is open and publicly available, and in terms of personalized data that reveals the specifics of doing business - confidential information.

7.7. The deadline for providing information contained in the trade register cannot be more than 5 days from the date the registration authority receives the relevant request. Refusal to provide information contained in the trade register is not permitted.

By line (1.2)“Trademark (brand) under which an economic entity operates” the name of the trademark (brand) is indicated (if there is no trademark (brand), “no” is indicated).

Trademark(™) - a verbal, figurative, combined or other designation used to individualize legal entities or individual entrepreneurs.

Brand– a complex of information about the company, popular, easily recognizable and legally protected symbols of any organization.
According to line (1.3) “Legal address” (for a legal entity) the legal address is indicated with an index.
According to line (1.4) “F.I.O. manager (for a legal entity)" Full surname, first name and patronymic must be indicated.
By line (1.5) "Individual entrepreneur" The last name, first name and patronymic of the individual entrepreneur must be indicated in full.
Line (1.6) “Place of residence of an individual registered as an individual entrepreneur” indicates the name of the subject of the Russian Federation, address with postal code.
According to line (1.7) “Telephone, fax (for a legal entity; individual entrepreneur)” contact telephone numbers and fax numbers indicating the territory code are indicated.
According to line (1.8) “Code according to the All-Russian Classifier of Enterprises and Organizations (OKPO)” It is mandatory to fill in the fields with the personal unique codes of the entrepreneur OKPO - based on the notification of assignment of the OKPO code issued by the territorial bodies of Rosstat.

The OKPO code is filled out in accordance with the Information Letter on assigning a code to the tax and statistical authorities.

OKPO code of legal entities - a sequence of 8 Arabic digits,

OKPO code for IPBOYUL is a sequence of 10 Arabic digits.

According to line (1.9) “Taxpayer Identification Number (TIN)” The TIN code must be indicated based on data from the tax service.

The TIN code is filled out in accordance with the Information Letter on assigning a code to the tax and statistical authorities.

The TIN of an individual and the TIN of an individual entrepreneur are identical.

TIN of a legal entity - a sequence of 10 Arabic digits,

INN IPBOYUL - sequence of 12 Arabic digits.
According to line (1.10) “Form of ownership (OKFS code)” the code from the all-Russian classifier of forms of ownership is indicated in accordance with Appendix 1 to these instructions.

OKFS is always a two-digit (two-digit) digital code.
According to line (1.11) “Organizational and legal form (Code according to OKOPF)” the code of the organizational and legal form from the all-Russian classifier of organizational and legal forms is indicated in accordance with Appendix 2 to this instruction.

OKOPF is always a two-digit (two-digit) digital code.
According to line (1.12) “Type of activity (OKVED code)” the code of each type of economic activity carried out is indicated, in accordance with the All-Russian Classifier of Types of Economic Details (Appendix 3 to this Instruction). That is, in Appendix 3 you should find the types of activities carried out by an economic entity (legal entity or individual), and rewrite the codes of these types of activities in line 1.12. The main type of activity should be indicated first.
According to line (1.13) “Average number of employees of an economic entity” the average number of employees of the business entity is indicated. Information on the average number is annually submitted to the tax authorities based on the results of the year in the form approved by order of the Federal Tax Service of Russia dated March 29, 2007 No. MM-3/25/174.

The average headcount is indicated for each type of business entity included in the trade register (shop, pavilion, tent, kiosk, warehouse, etc.).
According to line (1.14) “Method of trading (check)” The corresponding indicator is marked with a “√” sign (with the use of retail facilities / without the use of a retail facility). If an organization (individual entrepreneur) uses several methods of trade simultaneously, then all used methods and forms of trade should be noted in the appropriate boxes.
